Please read these Terms of Service (“Terms”) carefully before accessing or using the website https://copexa.life/ (the “Site”), requesting early access, purchasing any products, or using any services offered by Quantum H2 USA LLC d/b/a Copexa (“Copexa,” “we,” “us,” or “our”).

By accessing the Site, submitting an early-access request, placing an order, or otherwise using any of our products or services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must immediately cease all use of the Site and refrain from purchasing or using any Copexa products.

These Terms constitute a legally binding agreement between you and Quantum H2 LLC (a Florida limited liability company). We may update these Terms at any time; continued use after changes constitutes acceptance of the revised Terms.

1. Definitions

• “Products” means the Copexa Core hydrogen delivery systems and any related hardware, accessories, calculators, protocols, or future offerings sold or provided by Copexa.
• “Services” means the Site, calculators, protocols, support resources, and any other digital or informational offerings.
• “User,” “you,” or “your” means any individual or entity accessing the Site or purchasing/using Products.
• “Aquatic Systems” means any aquarium, reef tank, freshwater system, planted tank, quarantine system, or similar closed aquatic environment.

2. Eligibility and User Representations

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into binding contracts. By using the Site or purchasing Products, you represent and warrant that:

• You are an advanced aquarium hobbyist or professional who understands the experimental, nascent nature of molecular hydrogen application in closed aquatic systems.
• You have read and fully understand all safety warnings, including those regarding molecular hydrogen as a combustible gas.
• You will comply with all ventilation, installation, and usage requirements.
• You are not purchasing or using the Products for any commercial resale, medical, veterinary, or therapeutic purpose.

3. Products and Experimental Nature

All Copexa Products are offered strictly as experimental, hobbyist-grade tools for advanced users conducting their own cautious evaluation of dissolved molecular hydrogen in Aquatic Systems.

We do not claim proven outcomes, clinical validation, or guaranteed benefits. The application of molecular hydrogen in closed aquatic systems is a nascent, exploratory field with only limited peer-reviewed research. Copexa provides a configurable platform for your own testing—not clinically validated retail treatments or medications.

You acknowledge and agree that any use of the Products is at your sole risk and that results may vary widely depending on your specific livestock, system parameters, and environmental conditions.

4. Safety Warnings and Prohibited Uses

Molecular hydrogen (H₂) is a highly combustible gas. Copexa systems require active cross-ventilation at all times and are strictly prohibited for use:

• Inside any enclosed upper display aquarium canopy or hood (above the tank), or
• Inside any unventilated cabinet, stand, or sump enclosure (below the tank).

Use of the Products in any confined or inadequately ventilated space may result in fire, explosion, injury, death, or property damage.

You agree to follow all deployment protocols, cabinet/ventilation calculator guidelines, and safety instructions exactly as provided. Failure to do so voids any support and may expose you to serious harm. Copexa explicitly disclaims any responsibility for misuse, improper installation, or inadequate ventilation.

5. Orders, Payments, Shipping, and Delivery

• All orders are subject to acceptance by Copexa in our sole discretion (limited early-access batches only).
• Prices are in USD and subject to change without notice. Taxes, shipping, and handling are additional unless stated otherwise.
• Payment must be made in full at the time of order via approved methods.
• Shipping estimates are approximate; we are not liable for delays caused by carriers or customs.
• Risk of loss passes to you upon delivery to the carrier. Title passes upon full payment.

6. Returns, Refunds, and Cancellations

All sales are final. Because Products are experimental, custom-configured, and involve specialized hardware, we do not accept returns, refunds, or cancellations except in cases of verified manufacturing defects reported within 14 days of delivery (subject to inspection and our sole discretion).

You are responsible for ensuring the Products are suitable for your specific Aquatic System before purchase.

7. Warranties and Disclaimers

ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by Florida and U.S. law, Copexa disclaims:

• All implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
• Any warranty that Products will meet your requirements, produce specific results, or be safe when used without strict adherence to all warnings and protocols.
• Any liability for livestock loss, system damage, personal injury, property damage, or any other harm arising from use (or misuse) of the Products.

We do not warrant that the Site or calculators will be error-free or uninterrupted.

8. Limitation of Liability

IN NO EVENT SHALL COPEXA, QUANTUM H2 LLC, OR ANY OF OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (including but not limited to loss of livestock, loss of profits, system damage, or personal injury) ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR ANY PRODUCTS, even if advised of the possibility of such damages.

Our total cumulative liability shall not exceed the amount you actually paid for the specific Product giving rise to the claim.

This limitation applies regardless of the legal theory (contract, tort, strict liability, negligence, or otherwise) and survives any termination of these Terms.

9. Indemnification

You agree to indemnify, defend, and hold harmless Copexa, Quantum H2 LLC, and our affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use or misuse of the Products or Services,
• Any violation of these Terms,
• Any injury, death, property damage, or livestock loss caused by your installation, operation, or ventilation practices,
• Any breach of your representations and warranties.

10. Intellectual Property

All content on the Site, including text, graphics, logos, protocols, calculators, and product designs, is owned by or licensed to Quantum H2 LLC and protected by U.S. copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

You are granted a limited, revocable license to use the Site and calculators solely for personal, non-commercial hobbyist evaluation.

11. Privacy

Your use of the Site and purchase of Products is also governed by our separate Privacy Policy (available on the Site once published). By using the Site, you consent to our collection and use of information as described therein.

12. Prohibited Conduct

You agree not to:

• Use Products in any manner that violates safety warnings or applicable laws,
• Attempt to reverse-engineer, modify, or tamper with the Products,
• Resell Products without our express written permission,
• Use the Site for any unlawful purpose or to transmit harmful code.

13. Termination

We may terminate or suspend your access to the Site or any order at any time, with or without cause or notice. Sections 3–9, 11, and 13–15 survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Products shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida. You consent to the personal jurisdiction of such courts and waive any objection to venue.

You waive any right to a jury trial and agree that disputes will be resolved on an individual basis (no class actions).

15. Miscellaneous

• These Terms constitute the entire agreement between you and Copexa.
• If any provision is held invalid, the remainder remains in full force.
• Our failure to enforce any right does not waive that right.
• We may assign these Terms; you may not.
• Force majeure events (including but not limited to supply-chain issues, natural disasters, or regulatory changes) excuse our performance.
